Call for Board of Directors Candidates
The Association of Independent School Admission Professionals’ (AISAP) Governance Committee calls for candidates to fill positions on the AISAP Board of Directors for terms beginning July 1.  All candidate application materials must be received by the Governance Committee of AISAP no later than March 15, 2015Please apply by clicking HERE.

2015-2016 Positions Open
The Board of Directors will fill the vacant director positions, each to serve a three-year term.  Terms of service may be renewed for an additional three years by board approval. Any AISAP member may apply for consideration for any of these vacancies. Non-members will be considered based on experienced and board composition.

The Board’s Role
The board structure emphasizes the collective work of governing and future planning.  Governing, in this context, focuses on the board’s responsibility to set a strategic course for AISAP and steer that course. The board must also actively participate in the implementation of program and policy development to make the profession stronger.

Board Structure
The AISAP Bylaws establish:

  • A board of up to 25 directors
  • The Executive Director as an ex-officio, non-voting member of the board
  • An Executive Committee of the board which may exercise the authority of the board in between board meetings. The Executive Committee of the Board is comprised of all officers and committee chairs and the Executive Director of AISAP
  • Currently the board maintains a Finance Committee and a Governance Committee. Additional committees may be formed from time to time as deemed necessary to augment the work of AISAP

Board of Directors’ Responsibilities
The AISAP Bylaws state that the Board of Directors shall have full power, direction, and authority over the affairs of the Association, except as provided in the bylaws. Board members are expected to sign a Conflict of Interest statement annually. The Board of Directors shall:

  • Exercise financial stewardship over the Association
  • Determine the annual budget and establish annual membership dues
  • Establish and enforce policies and procedures of the Association
  • Evaluate the Executive Director annually and hire or dismiss the Executive Director when necessary
  • Perform other duties as defined in the Bylaws.

Commitment
Time spent as a board director can broaden one’s leadership abilities and experiences, forge lifelong professional relationships, offer opportunities to mentor others, bring visibility to employing institutions/organizations and provide opportunities to make a difference for the Association, the profession and the students served.

Board directors spend time deliberating during full board and board committee conference calls, reviewing and studying materials for decision making, conferring independently with other board directors, talking with AISAP members, representing the Association to the media or other organizations and vendors, and attending board meetings.  In-person meeting plans may change from year to year, but as an example, the 2014-2015 schedules include:

  • Board and subcommittee meetings (typically two days when not associated with another event) in September and May. These in-person meetings are held in different parts of the country. There is also a December meeting on the phone.
  • Executive Committee meetings are generally conducted by conference call.
  • Each board director will be asked to serve on at least one board committee.
During 2014-2015, the board committees include Finance Committee and Governance Committee. Board members are encouraged to join one of the ad-hoc Task Forces or Councils as well

Because of their many responsibilities, board directors must have the financial support of their institutions to fund travel expenses for the meetings. In return, the institution benefits from the national recognition afforded to board directors.

Staff Support
AISAP currently has three employees: the Executive Director, the Director of Operations and Member Relations, and the Program Coordinator. AISAP also engages and uses contractors for project-based work from time to time. Whereas the board sets the direction and strategic priorities, the staff develops and implements programs, tactics and activities.  This is a working board so many may be called upon to present at events or draft materials.

Qualifications
When considering candidates, the Governance Committee will focus on individual attributes as well as the collective profile of the board to assure that the board, as a body, brings the diversity of expertise, skills, experience and personal qualities that will strengthen the Association.

Application and Selection Process
The Governance Committee is charged with developing a slate of qualified nominees to present to the Board.

  • Candidate application profile materials must be completed online by March 15, 2015.  Please apply by clicking HERE.
  • The Governance Committee will meet in person or via conference call to select a slate of nominees and will solicit the support of the full board on their candidacy. If approved, the Governance Committee will notify candidates shortly thereafter and invite them to join the Board at its first meeting for the 2015-2016 school year.

In executing its responsibility to properly review candidate qualifications, the Governance Committee will consider all information received about the candidates and may at its discretion, contact candidates and candidate references for additional information.
